| Version | v1.0 draft (outline) |
| Date | 3 October 2026 |
| Status | Draft for counsel's review, not yet in force |
| Controller | Schweizer Bildungsglobus AG (Swiss eduGLOBE AG), c/o Benediktiner Kloster Disentis, Via Claustra 1, 7180 Disentis/Mustér, Switzerland, UID CHE-219.746.858 (correspondence: Leimbachstrasse 153, 8041 Zürich) |
| Applies to | euler.swiss and stella.academy |
This is an outline, not a finished contract. It sets out every clause the Faculty Terms must contain, with the substance of each, so that counsel can shape the final text. A minimal version is needed for the adult teachers at the pilot schools who will hold Faculty accounts from 11 October 2026. The tutoring and payout clauses are not in force until bookings open.
1. Who the Faculty Terms are for
The Euler Faculty consists of adults: teachers, mathematicians and tutors who contribute problems, review problems and, later, tutor children through STELLA. A Faculty Member contracts with Swiss eduGLOBE AG in their own name as an adult professional. The Faculty Terms are separate from the Terms of Use for Parents. The same defined terms apply: "Platform", "Child", "Euler ID", "Faculty Member", "Leo", "Eulos".
A Faculty Member must be at least 18, must hold the account personally, and must give a real name and country. Both are shown publicly on the Faculty profile and on the Faculty honours list. This is correct for adults and is the opposite of the rule for children, who are never shown by real name.
2. Account and professional profile
- Account by e-mail and password; one account per person; no sharing.
- The profile shows: title, name, country, a short professional summary, the number of accepted problems per level (seven cells) and the number of reviews per level. Submissions that were returned are never shown.
- AI-assisted sign-up. At sign-up the Faculty Member may paste a CV. A draft profile is produced by an AI model from that text and shown to the Faculty Member, who edits and approves it before it is published. The Faculty Terms must disclose: that the CV text is sent to the model provider (Anthropic, PBC, United States) under our data processing addendum; that it is not used to train models and is deleted by the provider within 30 days; that we store the CV only until the profile is approved and then delete it, unless the Faculty Member asks us to keep it; and that nothing is published without the Faculty Member's approval. The honesty label applies to this step as to every AI feature: "A computer program, not a person. Named for Leonhard Euler." is shown where Leo's model is used to draft the profile. [COUNSEL: the CV is the Faculty Member's own personal data sent abroad under SCCs; confirm consent or contract as the justification and the notice wording.]
- Faculty Members may edit or withdraw their profile at any time; honours entries remain while the account exists.
3. Contribution of problems
- Licence or assignment. The Faculty Member grants Swiss eduGLOBE AG an irrevocable, worldwide, royalty-free licence to use, reproduce, adapt (for translation, typesetting and level calibration), display and distribute each contributed problem on the Platform, in the Championship and in the Championship archive, and to create and use derivative problems. [COUNSEL: licence versus assignment; whether the licence survives termination (it must, because served problems appear in children's reports); moral rights under Swiss copyright law.]
- Attribution. The author's name appears on every problem shown on the Platform, permanently, in the form chosen by the author (name or a professional alias). This is a term of the licence and does not lapse. Exam-pool problems are attributed after the exam.
- Warranties. The problem is the author's own work or the author holds the rights; it does not infringe third-party rights; it has not been published in a form that would make it unsafe for a scored set. [COUNSEL: scope of warranty for problems adapted from classical sources.]
- Honours. Accepted problems and decided reviews are counted per level on the public honours list, with country. A per-country list appears only where a country has at least three credited Faculty Members. The honours list is never called a leaderboard.
- Usage statistics. The author sees aggregate use of each live problem (attempts, share solved, median time). No Euler ID, alias or child field is ever shown to an author.
- No payment for contributions during the pilot. Any later payment scheme is a separate agreement.
- Conflict of interest (added 23 October 2026, advisory board FBK-01 (6)). Faculty who write championship problems may not tutor registered players during the competition year. Published on the Faculty page; problem submission is open to cleared (identity-checked, safeguarding-vetted) Faculty accounts only; every lodged problem carries the author's declaration that it is their own or rightfully held work and unpublished, a worked solution, and where given an answer tolerance or units and a suggested age range. [COUNSEL: confirm the wording of the conflict rule and whether "the competition year" needs a defined term; whether the declaration should be repeated in these Terms.]
4. Review duties, recusal and the review protocol
- Problems pass a machine review (an AI model solves the problem twice, estimates level, checks ambiguity and duplicates; the author's name is stripped before the call), then human review: two Faculty peer reviewers who agree at Levels 1–3, a Panel from Level 4. Reviewers see no author name; authors never learn who reviewed.
- Recusal is structural. The queue never assigns a problem to its own author. When tutoring opens, a Faculty Member who authored or reviewed a problem never has that problem served in a scored set to a child they tutor (ARC-34). A Faculty Member must also decline to review where they know the author or have another conflict, and must declare conflicts on request.
- A review counts only when it is a verdict with a reason. Each reviewer's agreement rate with co-reviewers, the machine report and later calibration is tracked and is private to that reviewer; it is never published. Persistent rubber-stamping pauses reviewing rights.
- The Faculty Terms disclose that the machine review uses an AI model and name the sub-processor.
5. Confidentiality and the sealed exam pool
- All problems in review, and all problems marked for the Championship examination pool, are confidential. They may not be shared, taught, published or used outside the Platform until we release them.
- Exam-pool authors are known to the Panel chair only, sign a specific confidentiality undertaking, and may not tutor any Level 7 candidate until after the examination.
- Breach of confidentiality is a material breach leading to removal from the Faculty and may lead to legal action. [COUNSEL: form of the confidentiality undertaking; whether a liquidated-damages clause is appropriate.]
6. Conduct with children and safeguarding
- A Faculty Member never contacts a child outside the Platform, by any channel, and never asks a child for contact details, photographs or personal information.
- Two-adult rule. No Faculty Member is alone and unobserved with a child in any live setting we organise. Online lessons follow the rules in the safeguarding policy.
- The Faculty Member agrees to the Child Safeguarding Policy (ER-06, planned for November 2026), including the incident protocol and the duty to report concerns to our Designated Safeguarding Lead and, where the law requires, to the authorities.
- Vetting. Before any tutoring, the Faculty Member provides a criminal-record extract appropriate to their country (for Swiss residents, the Sonderprivatauszug) and two references, and completes an induction. We record only the verdict and date, never the document. A Faculty Member who cannot be vetted may contribute and review problems but may not tutor.
- Breach of these rules is a material breach and leads to immediate suspension pending review.
7. Tutoring and payouts (not in force until bookings open)
- A parent books and pays; a child may only "ask to book" and the parent approves. The Faculty Member sees the child's alias and learning record for the booked lessons only, on tier-3 parental consent.
- Revenue share. The Faculty Member receives 75 per cent of the lesson price paid by the parent; Swiss eduGLOBE AG retains 25 per cent as the platform fee. The payment-provider fee is borne by Swiss eduGLOBE AG in the first year so that 75 per cent is what the tutor receives. [PLACEHOLDER: confirm the fee treatment and whether it is a commitment or a year-one policy.]
- Payout rails. The Faculty Member chooses the rail that fits their country at onboarding: Stripe Connect Express where available (EEA, United Kingdom, United States, Canada, Switzerland); otherwise Wise Business, Payoneer, PayPal or bank transfer. Payouts are made in a monthly batch with a minimum balance of [PLACEHOLDER: CHF amount]; smaller balances carry over. [PLACEHOLDER: confirm batch rhythm and minimum.]
- Identity verification is done by the payout provider, not by us. Stripe, Wise, Payoneer or PayPal verify identity and bank details under their own terms and their own data protection notices. We receive only a confirmation that the account is verified and the reference we need to pay.
- Tax. The Faculty Member is an independent contractor, responsible for their own taxes and social contributions. At onboarding they give a tax-residency self-declaration. We issue a yearly earnings statement. [COUNSEL and tax adviser: Swiss withholding position on fees to foreign independent tutors for work done abroad; VAT on lessons.]
- Cancellation of lessons and no-show rules: [PLACEHOLDER: windows and consequences, to be set with the Paid Plans and Refund Policy].
- A lesson is never recorded. Children are never filmed.
8. Data protection for Faculty data
- The Faculty Terms include, or link to, a Faculty privacy notice covering: controller identity; the data held (name, e-mail, country, title, professional summary, CV until approval, contributions and reviews, agreement statistics, vetting verdict and date, payout account references, tax self-declaration, earnings); purposes; recipients (Exoscale, Mailpro, Anthropic for the CV draft and machine review, Stripe or the chosen payout rail); countries and safeguards; retention (account life plus [PLACEHOLDER]; payment and tax records 10 years under Art. 958f CO); rights and complaint routes.
- Public display of name and country is a condition of membership and is stated as such.
- Sensitive data: the vetting process may reveal criminal-record data, which is sensitive personal data under FADP Art. 5 lit. c. We store the verdict and date only. [COUNSEL: confirm the justification for processing the extract and the deletion of the document after sighting.]
9. Termination
- By the Faculty Member at any time, with 30 days' notice where lessons are booked. Attribution of contributed problems survives; the licence survives.
- By us for material breach (confidentiality, safeguarding, conduct, misrepresentation of qualifications) with immediate effect and a written statement of reasons; for other breaches after notice and 14 days to remedy.
- On termination: the profile is removed; honours entries are removed or marked as former; payouts earned are paid at the next batch; the licence to contributed problems and the duty of confidentiality survive.
10. Liability
- Full liability for intent and gross negligence on both sides (Art. 100 CO). Otherwise liability limited to direct foreseeable damage, capped at [PLACEHOLDER: cap]. No limitation for personal injury. The Faculty Member is liable for infringing contributions under the warranties in section 3. [COUNSEL: cap and wording; Art. 8 UWG does not apply between businesses but the Faculty Member may be a consumer in some respects.]
11. Governing law and forum
Swiss law. Courts of Zürich, Switzerland, subject to any mandatory forum rules protecting an individual Faculty Member. [COUNSEL: confirm.]
12. Language and versions
English governs. German, French and Italian versions follow counsel's clearance. Changes with 30 days' notice by e-mail and the right to terminate.
Points for the founder
- Whether pilot teachers need the full outline or a two-page minimal version (sections 1, 2, 3, 5, 6, 8, 9, 11) for 11 October. The memo (6.11) says a minimal version is needed for the pilot's adult teachers.
- Confirm the payout rails and the fee-absorption policy before the tutoring clauses are finalised.
